I. General

Blidz Inc. ("Blidz," "us," or "we"), headquartered at 30 Broad Street, 14th Floor Suite #1469, New York City, NY 10004, operates the Blidz website (the "Site") and mobile application (the "App"). Collectively, these are referred to as the "Platform." By using or accessing the Platform, you agree to comply with and be bound by these Terms of Service (the "Terms") and our Privacy Policy, located at https://blidz.com/privacy_policy (together with the Terms, the "Agreements"). These Agreements create a legally binding contract between you and Blidz.

  1. Acceptance of Terms:

    By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of these Terms, you must not use or access the Platform.

  2. Modification of Terms:

    Blidz reserves the right to modify or amend these Terms at any time without prior notice. Any changes will become effective immediately upon posting of the revised Terms on the Platform. Your continued use of the Platform after such modifications constitute your acceptance of the revised Terms. Please review these Terms periodically to stay informed of any changes.

  3. Eligibility:

    The Platform is intended for use by individuals who are at least 18 years old or the age of legal majority in their jurisdiction. By using the Platform, you represent that you meet this eligibility requirement. If you are using the Platform on behalf of a company, entity, or organization, you represent that you have the authority to bind that entity to these Terms.

  4. Scope of Service:

    Blidz provides an online marketplace platform that connects buyers ("Buyers") with third-party merchants and sellers ("Merchants") who list and sell products through the Platform. The Platform offers a social shopping experience that includes access to a variety of products listed by Merchants, promotional programs, a rewards system through which users may earn Blidz Points and Payout Balance, and a membership program with tiered benefits. BLIDZ IS A MARKETPLACE FACILITATOR AND IS NOT A PARTY TO ANY TRANSACTION BETWEEN BUYERS AND MERCHANTS. Blidz does not manufacture, store, inspect, or ship products. All products listed on the Platform are offered, sold, fulfilled, and delivered entirely by Merchants. BLIDZ DOES NOT HOLD, MANAGE, OR TRANSMIT USERS' OWN MONEY. Blidz Points and Payout Balance are rewards earned solely through Platform activities and cannot be purchased with real money. There is no mechanism for users to deposit their own funds into the Platform. All payment processing for product purchases is handled by Blidz's third-party payment processor (Stripe). Please note that any features of the Platform, including its content, may change over time as Blidz seeks to improve and update the Platform.

  5. Marketplace Role and Limitations:

    Blidz acts solely as an intermediary platform that facilitates transactions between Buyers and Merchants. Blidz does not take title to, possession of, or assume any responsibility for the quality, safety, legality, authenticity, or fitness for a particular purpose of any product listed or sold through the Platform. While Blidz may assist in facilitating payment processing, order coordination, and dispute resolution, Merchants are solely and entirely responsible for the products they list and sell, including without limitation product descriptions, pricing accuracy, product authenticity, compliance with applicable laws, fulfillment, shipping, and any applicable product warranties or guarantees. Any claims, disputes, or liabilities arising from a transaction between a Buyer and a Merchant are between those parties, and Blidz shall bear no liability in connection with such transactions except as expressly provided in these Terms or as required by applicable law.

  6. Additional Terms:

    Some areas of the Platform or certain features may be subject to additional terms or guidelines, including but not limited to the Merchant Seller Agreement governing Merchants' use of the Platform and the Blidz Membership Terms of Service governing the membership program. If applicable, these will be provided in conjunction with the relevant features. In the event of a conflict between these Terms and any additional terms, the additional terms shall govern.

  7. Privacy Policy:

    Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, and safeguard your personal information. By using the Platform, you agree to our Privacy Policy, which can be found at https://blidz.com/privacy_policy.

  8. Jurisdiction and Governing Law:

    These Terms are governed by and will be construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the use of the Platform will be resolved in the courts of New York, New York. Notwithstanding the above, if you contract as a consumer in the United Kingdom or the European Union, mandatory local consumer protection laws apply. You may bring proceedings in your country of habitual residence or, where required by those laws, in the courts of the United Kingdom (for UK consumers) or in the courts of your EU Member State (for EU consumers).

  9. Dispute Resolution and Arbitration:

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

    Any disputes or claims related to these Terms or the Platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration will take place in New York, and each party will be responsible for their own costs of arbitration. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

    You and Blidz agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Blidz each waive any right to a jury trial. This arbitration provision shall survive termination of these Terms.

    Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

    If you are a resident of a jurisdiction where applicable law prohibits mandatory arbitration of disputes, the agreement to arbitrate in this section will not apply to you, but the provisions of Section XVII (Applicable Law) will apply instead.

  10. Class Action Waiver:

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BLIDZ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Blidz agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. If a court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that an arbitration can proceed on a class basis, then the arbitration provisions set forth above shall be deemed null and void in their entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

  11. Electronic Communications Consent:

    By creating an account or using the Platform, you consent to receive electronic communications from Blidz, including emails, push notifications, text messages, and in-app messages. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

  12. Data Protection:

    We process your personal data in accordance with applicable data-protection laws, including the California Consumer Privacy Act (CCPA), the UK Data Protection Act 2018, and the EU GDPR. II. Privacy Policy

Blidz respects your privacy and permits you to control the treatment of your personal information. A complete statement of the Privacy Policy can be found at https://blidz.com/privacy_policy. Blidz's Privacy Policy is expressly incorporated into the Agreements by this reference.

III. Blidz Shopping: How the Service Works

PLEASE NOTE: BLIDZ IS AN ONLINE MARKETPLACE PLATFORM THAT CONNECTS BUYERS WITH THIRD-PARTY MERCHANTS. ALL PRODUCTS LISTED ON THE PLATFORM ARE OFFERED, SOLD, FULFILLED, AND DELIVERED ENTIRELY BY MERCHANTS. BLIDZ DOES NOT MANUFACTURE, STORE, INSPECT, OR SHIP ANY PRODUCTS. THE SALES PRICE OF A PRODUCT EQUALS THE TOTAL CASH PRICE OF THE PRODUCT PLUS THE SHIPPING COSTS TO DELIVER THE PRODUCT. THE SALES PRICE OF THE PRODUCT VARIES BASED ON THE BUYING METHODS CHOSEN. UNDER THE SCENARIOS OF TEAM-BUY, THE SALES PRICE OF A PRODUCT IS SIGNIFICANTLY LOWER THAN THAT OF BUYING-ALONE AND JOINING DEALS OF OTHERS, AS ORDERS ARE CONSIDERED COMPLETE ONLY WHEN THE DEAL INITIATED IS JOINED BY ANOTHER BUYER WITHIN 24 HOURS. ALL PAYMENTS ARE PROCESSED BY BLIDZ'S PAYMENT PROCESSOR (STRIPE). THE FINAL PRICE MAY BE REDUCED BY APPLYING PAYOUT BALANCE AS A DISCOUNT.

III a) Deals

All Deals listed at Blidz contain a Retail Price ("Retail Price" or "Strike-through Price"), Sales Price ("Sales Price"), Discount ("Discount") or ("Savings") and the Final Price ("Final Price") needed to purchase the Product as advertised in the listing on the Platform. The Retail Price of the Deal reflects the Merchant's or market's typical or suggested value and is provided for comparison purposes only. It is not necessarily the price at which the product was recently offered for sale by Blidz, the Merchant, or others, and actual savings may vary. The Sales Price is the cash price at which the user can buy the product in the listing determined by Blidz based on the buying methods chosen. The Discount is defined as the estimated percentage difference between the Sales Price and the Retail Price excluding shipping and/or transaction related costs, and is provided as an estimate only.

Payout Balance may be applied to reduce the Final Price of a Deal. If a Team-Buy Deal expires or fails because the required number of participants was not reached, any Payout Balance applied to that Deal will be refunded to the user's Payout Balance. However, if a Team-Buy Deal is successfully completed and the order is fulfilled and shipped, and the user subsequently requests a return or refund, any Payout Balance that was applied as a discount to that order is non-refundable. For Join Deals and Buy-Alone Deals, Payout Balance applied as a discount is non-refundable once the order has been fulfilled. Blidz reserves the right to modify, limit, or discontinue the ability to apply Payout Balance to Deals at any time.

Blidz reserves the right to replace the product on which the user bought (for full price) with (i) another product of similar or higher value at the discretion of Blidz, (ii) a product of a lesser value if the user so requests, or (iii) a gift card with the value of the Sales Price of the good excluding the value of the Payout Balance used to purchase the product.

1) Team-Buy Deals

A Team-Buy Deal ("TB Deal") is defined as an offer to purchase a product where the user becomes a host of the deal, and the Deal is only considered as complete when another Buyer has joined the deal. To purchase a Team-Buy Deal, a user must pay the applicable Final Price for the product through Blidz's payment processor (Stripe). The Final Price is calculated based on the Sales Price indicated in the product's listing, less any Payout Balance the user elects to apply as a discount. The Final Price may differ for each user depending on their available Payout Balance and how much they choose to apply. The Sales Price of a product is set by Blidz and the applicable Merchant individually for each Deal and may change frequently over time. A Team-Buy Deal remains open for 24 hours from the time the host initiates the deal. If no other Buyer joins the hosted deal within 24 hours, the deal will be deemed expired, and the payment will be fully refunded to the user's original payment method. Any Payout Balance applied to the expired deal will be refunded to the user's Payout Balance.

2) Join Deals

A Join Deal is defined as an offer to purchase a product where the user joins a deal hosted by another user. To purchase a Join Deal, a user must pay the applicable Final Price for the product through Blidz's payment processor (Stripe). The Final Price is calculated based on the Sales Price indicated in the product's listing, less any Payout Balance the user elects to apply as a discount. The deal is considered complete when the payment is successfully processed. The Sales Price of a product is set by Blidz and the applicable Merchant individually for each Deal and may change frequently over time.

3) Buy-Alone Deals

A Buy-Alone Deal is defined as an offer to purchase a product where the user buys the deal alone. To purchase a Buy-Alone Deal, a user must pay the applicable Final Price for the product through Blidz's payment processor (Stripe). The Final Price is calculated based on the Sales Price indicated in the product's listing, less any Payout Balance the user elects to apply as a discount. The deal is considered complete when the payment is successfully processed. The Sales Price of a product is set by Blidz and the applicable Merchant individually for each Deal and may change frequently over time.

III b) Blidz Points

In this section and in these Terms, we may refer to a Point or Points as a "Blidz Point" or "Blidz Points", or "Credit" or "Credits" respectively.

Blidz Points are a Platform credit that allows you to participate in Rewards and other Platform activities. At Blidz, new users receive free Points to get to know the service. After running out of Points, you must earn Points through Platform activities. Points cannot be purchased with real money. There is no mechanism for users to deposit funds, buy Points, or otherwise convert real currency into Blidz Points. Points are earned solely through user engagement and participation in Platform activities.

Points have no monetary value and are exclusively offered to users for use in participating in Rewards and other Platform activities on Blidz. Points are not redeemable for cash and do not constitute stored value, electronic money, a prepaid product, or any form of currency. Points do not represent any form of deposit, investment, or financial instrument.

Blidz Points are consumed on a first-in, first-out ("FIFO") basis, meaning that the oldest Points in your account are used first.

Blidz Points expire 180 days after they are earned if they remain unused. Expired Points are automatically removed from the user's account and cannot be recovered or reinstated.

Blidz Points have a fixed conversion rate of 1,000 Blidz Points to $1.00 USD (or the equivalent in regional currency), which applies when Points are converted into Payout Balance through the Season Level system described in Section III d) below. Blidz reserves the right to modify the conversion rate at any time at its sole discretion.

Please also be advised that in case of any permanent discontinuation of the Service by Blidz, any Points remaining in the system thereafter will be deemed invalid and Blidz shall not be liable for those Points or any related issues.

III c) Payout Balance

Payout Balance is a rewards balance maintained within your Blidz account. Payout Balance is derived exclusively from the conversion of Blidz Points through the Season Level system (described in Section III d below) and from certain promotional credits issued by Blidz at its sole discretion.

Payout Balance is not real money, a deposit, stored value, or electronic currency. Blidz does not hold, manage, or transmit any user's own money through the Payout Balance system. Users cannot deposit their own funds into their Payout Balance, nor can they purchase or otherwise acquire Payout Balance through the expenditure of real money. All Payout Balance is earned solely through the accumulation of Blidz Points and their conversion via the Season Level system or through promotional credits awarded by Blidz. Under no circumstances does the Payout Balance represent funds deposited by, held on behalf of, or owed to the user.

Payout Balance may be used to: (i) reduce the Final Price of Deals on the Platform; or (ii) be withdrawn to an external payout channel, subject to the conditions set forth in Section III e) below.

Blidz reserves the right to modify, suspend, limit, or discontinue the Payout Balance program, including the rates, thresholds, and conditions governing the conversion of Points into Payout Balance, at any time and at its sole discretion without prior notice. Payout Balance is promotional in nature and is not guaranteed; modifications to the program, including changes to withdrawal limits, conversion rates, or availability, do not create any liability on the part of Blidz. In the event of permanent discontinuation of the Service, any Payout Balance remaining in the system shall be deemed invalid, and Blidz shall not be liable for such Payout Balance or any related issues.

Payout Balance is non-transferable between accounts and may not be sold, bartered, or exchanged outside of the Platform. Any attempt to sell, trade, or transfer Payout Balance outside the Platform is a violation of these Terms and may result in account suspension or termination and forfeiture of all Payout Balance.

III d) Season Level System

Blidz operates a Season Level system through which users may convert accumulated Blidz Points into Payout Balance. Each season runs for a defined period as determined by Blidz.

During each season, users earn Blidz Points through Platform activities. Each level within a season has a "Points acquired" threshold — that is, the user must earn a specified cumulative amount of Points during the season to progress to the next level. Upon completing a level (i.e., reaching the Points acquired threshold for that level), the user earns the ability to convert a designated amount of Blidz Points into Payout Balance.

The amount of Payout Balance a user may convert upon completing a level depends on the user's membership tier. As of the date of these Terms, the convertible amount per level completion is $0.10 for free (non-member) users and $1.00 for members of all paid tiers (Plus, Premium, and Ultra). These amounts are subject to change at Blidz's sole discretion without prior notice in order to balance the Platform economy.

The specific season duration, level thresholds, conversion amounts, and eligible activities are determined by Blidz in its sole discretion and may vary between seasons. Blidz reserves the right to modify, reset, or discontinue the Season Level system at any time without prior notice. Points that have not been converted into Payout Balance by the end of a season may be subject to expiration or reset in accordance with the rules of that season, as communicated through the Platform. Blidz may reset unused Points or season progress at the end of any season without liability to the user.

Users' progress within a season, including accumulated Points and levels achieved, may not carry over to subsequent seasons unless expressly stated by Blidz.

III e) Payout and Withdrawal

Users may withdraw their Payout Balance to an external payout channel, subject to the following conditions:

(i) Payout Channels: Payout Balance may be withdrawn to PayPal or converted to a gift card balance, subject to regional availability. Blidz may add, modify, or remove supported payout channels at any time at its sole discretion.

(ii) Monthly Withdrawal Limits: Withdrawals are subject to monthly limits that depend on the user's membership tier:

  • Free (non-member): up to $5 per month

  • Plus member: up to $30 per month

  • Premium member: up to $60 per month

  • Ultra member: up to $90 per month

Monthly withdrawal limits reset at the beginning of the user's membership billing cycle for paid members (Plus, Premium, and Ultra). For free (non-member) users, monthly withdrawal limits reset on the first calendar day of each month. Unused withdrawal capacity does not roll over to subsequent periods. Blidz reserves the right to modify these limits at any time.

(iii) Minimum Threshold: Withdrawals are subject to a minimum payout threshold as determined by Blidz and communicated through the Platform.

(iv) Processing: Withdrawal requests are processed by Blidz within a reasonable timeframe. Blidz is not responsible for delays caused by third-party payout providers.

(v) Verification and Anti-Fraud: Withdrawal availability and limits are subject to account good standing, identity verification, and anti-fraud checks. Blidz may require identity verification before processing any withdrawal. Blidz reserves the right to withhold, delay, suspend, or deny any withdrawal request if it suspects fraudulent activity, a violation of these Terms, irregular account activity, or for any other reason at its sole discretion.

(vi) Taxes: Users are solely responsible for any tax obligations arising from the receipt of Payout Balance or withdrawals thereof. Blidz does not provide tax advice and may be required to report payout information to applicable tax authorities.

(vii) Account Standing: Withdrawals are available only to accounts in good standing. Blidz may suspend withdrawal privileges for accounts under review, accounts that have violated these Terms, or accounts subject to a dispute or investigation.

(viii) Forfeiture: To the extent permitted by applicable law, upon termination or suspension of a user's account for violation of these Terms, all Payout Balance may be forfeited at Blidz's sole discretion.

III g) Acceptance

In case of human error, a small number of products in the application may have a wrong Sales Price. In case the product sold through Blidz is in actuality significantly more expensive, Blidz reserves the right to cancel the order and notify the buyer. In cases of pricing errors, system issues, or other technical problems affecting Deal pricing or availability, Blidz may cancel or refund affected orders at its discretion.

III h) Free Points

Blidz may, in its sole discretion, award free Points to any given user or users, including based on variations in the respective user's purchasing histories or other user behavior. Typical user behavior that may get rewarded includes and is not limited to daily check-ins, claiming rewards, participating in Deals, watching videos, browsing deals, sharing links, and other Platform activities.

IV. Eligibility to Use the Service

You must be at least 18 years of age to open an account, participate in Deals, purchase goods offered through the Service, or otherwise use the Service. If you reside or are otherwise located in a jurisdiction, territory or other location where the minimum age for permissible use of the Service is greater than 18 years old, you must meet the age requirement in your local jurisdiction or territory in order to register for and use the Service. If you reside in the United Kingdom or the European Union, you confirm that you are at least the minimum age for digital consent under the UK Data Protection Act 2018 or the EU GDPR (16 in most Member States, or such lower age as your Member State permits). If you are below that age but above 13, you must have parental or guardian consent to use the Service.

The market for Blidz's services is the United States, Canada, Australia, and the United Kingdom. Blidz may also offer limited or pre-launch availability in the European Economic Area; users in such regions should confirm current availability through the Platform. All products purchased on this Site may only be delivered to addresses in supported regions. Blidz does not deliver to PO Boxes or freight-forwarding companies, except where required by local consumer laws.

You may establish only one account per person. Additionally, each group of associated users (as determined at Blidz's sole discretion, based on indicia of billing details such as credit card information, IP address, device ID, or other details which indicate the possibility of association) may not have control over more than two registered Blidz accounts. Blidz reserves the right to suspend or terminate any account that is controlled or associated with a user (or "group of associated users") who is (or are) found to have or maintain control over more than one user account on Blidz, and terminate, withhold or cancel a purchase or delivery of a purchase and remove all purchased and FREE Points and Payout Balance associated with such account, without prior warning and without any form of compensation.

You are responsible for maintaining the confidentiality of your login name and password and you accept responsibility for all activities, charges, and damages that occur under your account. It shall be a violation of these Terms of Service to allow any other person to use your account. If you have reason to believe that someone is using your account without your permission, you should contact us immediately. We will not be responsible for any loss or damage resulting from your failure to notify us of unauthorized use. If we request registration information from you, you must provide us with accurate and complete information and must update the information when it changes.

"Authorized Account Holder" is defined as the natural person 18 years of age or older who is assigned to an email address by an internet access provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address for registration on the Platform. By inputting a payment method to participate in the Service, the Authorized Account Holder hereby affirms that the Authorized Account Holder is the lawful owner of the payment method account used to make any deposit(s) on the Platform. It shall be a violation of these Terms of Service for any Authorized Account Holder to submit payment using any payment method that is not owned by the Authorized Account Holder.

Each new user may only register once with Blidz, therefore you agree to only have one account. In order to register for and use the Service, a user must provide the postal address for such user's place of residence (P.O. boxes or equal are not permitted). You must provide a residential address within the United States, Canada, Australia, or the United Kingdom (or within the European Economic Area if Blidz has extended availability to your region). P.O. boxes are not permitted, except where required by local law. The "player name" (user name for purposes of the Service) you choose may not be offensive, intended to impersonate another user, deceiving or infringing on any third party intellectual property. If your player name is in breach of these Terms of Service, harms any third party or Blidz, your account will be deactivated until that player name has been changed. Blidz also reserves the right to permanently close your account for any reason (or no reason), including breach of these Terms of Service, without prior warning and without liability to you or any other person.

Blidz reserves the right to ask any user to change his or her "player name" (the user's profile name for purposes of the Service). If a user has not changed his or her player name within 24 hours from the time Blidz requested that the player name be changed, Blidz reserves the right to change such player name and inform the applicable user of such change.

When creating the account, you must choose a password. This password or other login information should not be shared with others, nor should you otherwise let anyone else have access to your account. You should not do anything that could endanger the security of your account. The only time Blidz will ask for your password is during login; therefore you should never give your password to anyone including Blidz employees. If you suspect that your account has been breached in any way, you should immediately contact Blidz and change your login details. The responsibility for the confidentiality of your account and any use of your account, including any purchases made through your account (even if not authorized by you), is yours entirely. You are solely responsible for any and all usage of your account.

Accounts registered at Blidz aren't transferrable and cannot be used by anyone except the person registered with the account. In the event that Blidz detects any breach of these Terms of Service, no matter if it hurts Blidz or any third party, Blidz will have the right to, in its sole discretion, close that account or otherwise disqualify any applicable user(s) from present and future use of the Service or the Platform.

By accepting the Terms of Service, you authorize Blidz to track and record your account activity, including for purposes of detecting any violation of these Terms of Service.

If a user violates these Terms of Service, any law, the users on Blidz, Blidz's Service or any other third party Blidz reserves the right to at any time disqualify, temporarily or permanently, the user. Examples of violations include, but are not limited to, use of unauthorized third-party software, multiple accounts for the same user or collusion. You agree to not hold Blidz responsible for any loss incurred as a result of breaching these Terms of Service and you agree that Blidz may withhold, cancel or retain any of your pending deliveries and/or refunds for Points and Payout Balance. Any user violating this Terms of Service agreement will face immediate deletion of their account without warning at Blidz's sole discretion.

V. Membership Fees and Refunds

Membership in Blidz requires payment of a recurring fee (weekly, monthly, or annual, depending on the plan selected), which provides access to benefits such as discounts, free shipping, enhanced rewards, increased Payout Balance withdrawal limits, and other perks. Blidz offers multiple membership tiers (Plus, Premium, and Ultra), each with different benefits and pricing as described on the Platform. The Blidz Membership program may include a complimentary trial period; details of any trial are presented to the user prior to activation. By subscribing, you agree to the following terms regarding fees and refunds:

V a) Payment, Authorization, and Auto-Renewal

Your membership activates immediately upon payment or trial's end and auto-renews at the then-current rate on a recurring basis (weekly, monthly, or annual, depending on the plan selected) unless canceled. Fees are charged to your designated payment method on file. You authorize Blidz to charge recurring fees until you cancel your membership. All payment processing is handled by Blidz's third-party payment processor (Stripe). We accept credit and debit cards, including Visa, Mastercard, American Express, and Discover.

As part of the initiation of a Blidz Membership, Blidz may execute a provisional authorization hold on your payment card to verify its validity. This hold is typically released; however, if you fail to cancel your subscription before the next billing cycle, the held amount may be applied toward the cost of membership renewal.

If your payment method on file is declined or otherwise fails at the time of a scheduled renewal, all membership benefits will be suspended immediately. Our payment provider may retry the charge multiple times over a period of up to two (2) weeks. If all retry attempts fail, your membership will be automatically cancelled. You are responsible for ensuring that your payment information is current and valid.

If a user with a past-due but not yet cancelled membership elects to reactivate their membership (including during a product checkout), Blidz reserves the right to process any outstanding invoice using the payment method provided at the time of reactivation.

V b) Money-Back Guarantee

Blidz offers a 30-day money-back guarantee exclusively for your initial membership fee. If you request a refund within 30 days of the initial charge, it will be processed promptly and without questions asked. This guarantee applies solely to the inaugural payment and serves as a risk-free trial period.

V c) Non-Refundable Fees

Except as provided in the money-back guarantee above or where required by applicable law, all membership fees are non-refundable. This includes subsequent renewals, partial months, or unused portions of your membership. No refunds will be issued for:

  • Unused benefits (e.g., if you choose not to utilize perks or relinquish them for personal reasons).

  • Routine changes (e.g., updates to benefits, features, or services).

  • Program misuse (e.g., involvement in fraudulent activities or abuse that harms Blidz or other members).

V d) Cancellations

You may cancel your membership at any time. Cancellation is primarily available directly through the Blidz app (in your account settings or subscription management section). We make cancellation as straightforward as enrollment — no extra steps beyond standard app navigation are required. If you encounter any issues or require assistance (e.g., for refund-related questions or complex cases), you may also email support@blidz.com. Blidz will provide confirmation of your cancellation promptly upon processing.

Cancellation must occur at least 23 hours before the next billing cycle to avoid further charges. Deleting the app or your account does not automatically cancel the subscription, as subscription management and payments are handled through our payment partner. To avoid further charges, you must cancel the subscription within the app or by contacting support prior to your next billing cycle.

Upon cancellation, all membership-exclusive benefits (including membership-tier discounts, free shipping, and enhanced rewards) cease immediately. Any accumulated Payout Balance will remain in the user's account but will be subject to the Free tier withdrawal limit ($5 per month) and to the standard Payout Balance terms set forth in Section III c) and III e), including expiration and forfeiture provisions. Any orders relying on membership perks may be canceled at Blidz's discretion. Upon cancellation, the user's monthly withdrawal limit will revert to the Free tier limit.

V e) Refund Requests

To request a refund under the money-back guarantee, contact our support team at support@blidz.com with your account details and reason for the request. Refunds will be issued to the original payment method within 7-10 business days. Blidz reserves the right to deny refunds for violations of these Terms.

V f) Changes to Fees

Blidz may modify membership fees, tiers, benefits, or withdrawal limits at any time. If Blidz increases membership fees for current subscribers, Blidz will provide advance notice of no less than fourteen (14) days via email or in-app notification prior to the effective date of such increase. If you do not agree to the increased fees, you may cancel your membership before the next billing cycle at the increased rate. If you cancel within fourteen (14) days of the first charge at the increased rate, you may request a prorated refund for the remaining unused portion of that billing period. Continued use of the membership after the increased fee takes effect constitutes your acceptance of the new pricing.

V g) Clear Disclosure of Auto-Renewal and Affirmative Consent

Before subscribing to a Blidz Membership, you will be presented with a clear and conspicuous summary of the material terms of the subscription, including: (i) the recurring charge amount and billing frequency (weekly, monthly, or annual, depending on the plan selected); (ii) that your membership will auto-renew at the then-current rate unless you cancel before the next billing cycle; (iii) the deadline by which you must act to prevent the next charge; and (iv) how to cancel your membership, including a direct link or pathway within the app. This disclosure will be presented before you are asked to provide billing information or consent to the subscription.

You must provide your separate, affirmative consent to the auto-renewal terms before you may be charged for a subscription. Consent to auto-renewal is obtained independently from your acceptance of these general Terms of Service. Blidz does not use pre-checked boxes or any other mechanism that would enroll you in an auto-renewing subscription without your explicit, affirmative action.

Upon successful enrollment, Blidz will send you a confirmation (via email, in-app notification, or other electronic communication) that includes a summary of the subscription terms, the amount charged, the next billing date, and instructions on how to cancel. Blidz Membership terms, including tier-specific pricing and benefits, are further detailed in the Blidz Membership Terms of Service.

V h) Membership Terms of Service

The Blidz Membership program is additionally governed by the Blidz Membership Terms of Service, which sets forth detailed terms regarding membership tiers, pricing, trial periods, benefits, payment authorization, and operational details. The Blidz Membership Terms of Service is incorporated herein by reference. In the event of a conflict between Section V of these Terms and the Blidz Membership Terms of Service, the Blidz Membership Terms of Service shall govern as to membership-specific matters.

VI. Refunds, Returns and Cancellations

Users have the right to return or cancel an order within 30 calendar days from its delivery. A user may return a product for any reason as long as the product is returned in its original, non-damaged, unused, new condition.

Statutory Right of Withdrawal (EU & UK)

If you are a consumer in the UK or the EU, you have a legal right to cancel your order without reason within 14 days of receipt of the goods. To exercise this right you must notify us by an unequivocal statement (e.g. emailing support@blidz.com) before the 14-day period expires, and return the goods within 14 days thereafter. Refund of original standard delivery costs; you bear return shipping costs (but first return may be free for UK customers).

A. Returning Products from purchased Deals

If an order for a Deal is returned within 30 days from delivery, the user will be entitled to a refund of the transaction amount including shipping cost. The "return" shipping costs will be paid by the user, unless the reason for the return is an error made by Blidz or the Merchant.

Points and Payout Balance used when buying the Deal are not refundable.

B. Return policy for purchased Deals

The refunded amount will be returned to the original payment method that was used to pay for the Deal. The refund will be reflected in the user's original payment account within 3-5 business days. Any Payout Balance used to pay for the Deal will be refunded directly as Payout Balance and be immediately visible in the wallet.

C. Canceling Products Before Delivery

If a user cancels delivery of a product before it has been delivered, the user does not have to accept delivery. In the cases where Blidz or the Merchant cancels delivery, a refund of the purchase price will be made to the user. Points and Payout Balance will not be refunded.

The "return" shipping costs will be paid by the user, unless the reason for the return is an error made by Blidz or the Merchant. Returns will be refunded if and when the product is received by the Merchant in its original, non-damaged or unused condition. If additional costs occur due to insufficient postage on the return, Blidz reserves the right to deduct this from the refund amount.

D. Refund of Incomplete Deals

If a user chooses to purchase an item via "Team Buy", the user becomes a "Host" of that deal, and the deal is considered complete only when another Buyer joins the deal initiated by the host. If no other Buyer joins the hosted deal within 24 hours, the deal will be deemed expired, and the full payment amount will be refunded to the user's original payment method. Any Payout Balance applied to the expired deal will be refunded to the user's Payout Balance.

E. Refund of membership fees

Except as provided in the money-back guarantee above or where required by applicable law, all membership fees are non-refundable. This includes subsequent renewals, partial months, or unused portions of your membership. No refunds will be issued for:

  • Unused benefits (e.g., if you choose not to utilize perks or relinquish them for personal reasons).

  • Routine changes (e.g., updates to benefits, features, or services).

  • Program misuse (e.g., involvement in fraudulent activities or abuse that harms Blidz or other members).

VII. Delivery of Products

VII a) Delivery

Products purchased through Blidz are fulfilled and delivered entirely by the applicable Merchant. Blidz delivers only to the continental United States, Canada (including all ten of its provinces), Australia, and the United Kingdom. Delivery to the European Economic Area may be available on a limited or pre-launch basis; users should confirm current delivery availability through the Platform. Additional shipping costs or restrictions may apply to deliveries to the states of Alaska and Hawaii, Canada and Australia. Deliveries are made from the Merchant's facilities or suppliers to the address provided in the account of the user. Blidz shall have the right to designate or approve third-party logistics providers for Merchants without having to notify the buyer. Any given delivery time is only an estimate and can vary. Damage to the delivered product that has occurred during transport or from packaging must be reported upon receipt.

Blidz reserves the right, in its sole discretion, to refuse shipment to outlying islands and territories. If you are a resident of an outlying island or territory and it is determined that your purchases cannot be shipped, a refund of the purchase price will be provided, excluding Points and Payout Balance spent on those products.

Blidz offers different delivery options with average cost in the range of $0.00 - $49.99, depending on the product, the Merchant and any applied promotional discount. A valid order will take, on average, 1-2 business days of processing time, and will take between 12 to 25 business days to be delivered, not including weekends and public holidays. In certain cases, the delivery might be further delayed due to unavoidable situations, like slower customs clearance procedures or poor weather conditions.

VII b) Substitution

Subject to the cancellation policy specified herein, Blidz or the applicable Merchant reserves the right to substitute a product for a similar or equivalent product, provided that it has the same or higher Sales Price. This may be necessary from time to time due to unforeseen circumstances in delivery or supply.

VII c) Offsetting

In the case that the Merchant is not able to deliver the Deal product to the user for unforeseen reasons, Blidz, in its sole discretion, reserves the right to give the user an option of (i) a similar, alternative product in the same price range or (ii) the equivalent value of the undelivered product in Payout Balance.

Should subsequent correction be undertaken by way of delivery of a replacement, the user shall be obligated to return the product already delivered within 30 days at Blidz's expense.

VII d) Retention of Title

When accepting these Terms of Service you agree that products delivered are the Merchant's property up until the time that full payment has been received including additional fees.

Any product delivered through the Platform shall remain the property of the Merchant until payment in full of the total price, including for the Payout Balance used in the Deal. Until such time as full payment has been made, the user undertakes to store the product separately from their other possessions and to insure it.

VII e) Service and Support for Purchased Products

Technical support and service on all products purchased through Blidz shall be available only through the applicable manufacturer(s) or Merchant(s) in accordance with such manufacturer's or Merchant's policies. Blidz explicitly disclaims any responsibility for guarantee of the quality, functionality, and/or fitness for a particular purpose of any and all products purchased through the Service.

Blidz is not responsible for any injury resulting from or in connection with the use of any product purchased through Blidz, and each user hereby waives any responsibility to or liability of Blidz with regard to any such injury. Responsibility for product-related claims, including product liability, shall rest with the applicable Merchant and/or manufacturer.

VIII. Merchant and Product Obligations

VIII a) Merchant Responsibilities

Merchants who list and sell products through the Platform are solely responsible for: (i) the accuracy, completeness, and legality of all product listings, descriptions, and images; (ii) the authenticity, quality, safety, and fitness for purpose of all products offered; (iii) compliance with all applicable federal, state, and local laws and regulations, including consumer protection, product safety, labeling, advertising, and export control laws; (iv) the fulfillment, packaging, and timely delivery of all orders; (v) honoring any warranties, return policies, or guarantees applicable to their products; and (vi) maintaining adequate insurance coverage for product liability.

Merchants' use of the Platform is further governed by the Merchant Seller Agreement, which sets forth additional terms and obligations. In the event of a conflict between these Terms and the Merchant Seller Agreement, the Merchant Seller Agreement shall govern as to the Merchant's obligations.

VIII b) Prohibited Products and Counterfeit Goods

Merchants may not list, offer for sale, or sell through the Platform any products that are counterfeit, unauthorized replicas, or otherwise infringe upon the intellectual property rights of any third party. This includes, without limitation, goods bearing trademarks, logos, or trade dress without authorization from the rights holder.

The following products are prohibited from being listed on the Platform:

  • Counterfeit, unauthorized, or infringing goods of any kind

  • Products that violate any applicable law or regulation, including recalled products

  • Hazardous materials or substances not permitted for sale under applicable law

  • Products that are misrepresented, deceptively described, or falsely advertised

  • Stolen goods or goods with disputed ownership

  • Any other products that Blidz determines, in its sole discretion, are unsuitable for the Platform

Blidz reserves the right (but assumes no obligation) to monitor, investigate, and remove any product listing that violates these Terms or applicable law, and to suspend or terminate the account of any Merchant found to be in violation.

VIII c) Buyer Assumption of Risk

By purchasing products through the Platform, you acknowledge and agree that Blidz is a marketplace facilitator and does not manufacture, inspect, verify, or guarantee any products sold by Merchants. While Blidz endeavors to maintain a safe and trustworthy marketplace, you assume the risk associated with purchasing products from third-party Merchants, including but not limited to risks relating to product quality, authenticity, safety, and fitness for a particular purpose.

If you believe a product you received is counterfeit, inauthentic, not as described, defective, or unsafe, you should report the issue to Blidz at support@blidz.com immediately. Blidz will investigate reported issues and may, at its sole discretion, facilitate a resolution including but not limited to issuing refunds, removing product listings, or suspending Merchant accounts.

VIII d) Product Descriptions and Accuracy

Blidz does not independently verify, endorse, or guarantee the accuracy of any product listing, description, image, or claim made by a Merchant on the Platform. Buyers are encouraged to review product listings carefully and to contact the Merchant or Blidz support with any questions before making a purchase.

VIII e) No Agency Relationship

Nothing in these Terms shall be construed to create an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between Blidz and any Merchant. Merchants are independent third parties, and Blidz does not control or direct the manner in which Merchants operate their businesses or fulfill orders.

IX. Licenses

By accepting these Terms and submitting any information or materials to Blidz ("Licensed Materials"), you hereby grant us a non-exclusive, worldwide, royalty-free, irrevocable, and sublicensable right to exercise all copyright and rights of publicity over the Licensed Materials, in any existing or future media, known or unknown and to use and reproduce the Licensed Materials as is necessary to provide the Services. Blidz grants you a limited license to make personal use only of the App, the Site and the Services. This grant does not include, without limitation: (a) any resale or commercial use of the Site or Services, (b) the collection and use of any email or user information, ratings or listings; (c) making derivative uses of the Site and its contents; or (d) use of any data mining, robots, or similar data gathering and extraction methods. All trademarks, service marks, and content are owned or licensed by Blidz or their respective owners and are protected by applicable intellectual property laws. You agree not to make use of anyone else's information other than as necessary to participate in the Site and to complete any transaction in which you are involved. Specifically, you agree that with respect to any information disclosed to you by Blidz regarding another user of the Services, you only will use such information, unless otherwise authorized, (a) to complete transactions originating from the Site, including the use of third-party services, (b) for communications with us, or (c) as permitted by the corresponding user identified in such information. You agree not to disclose any user information disclosed to you by Blidz except as provided by these terms or with our consent. You further agree not to use any information accessible from the Site for purposes of solicitation, advertisement, or spamming, or which is harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory or otherwise objectionable.

X. Intellectual Property Rights

You acknowledge that Blidz respects intellectual property rights and expects all users, including Merchants and Buyers, to do the same. This section outlines our policies regarding intellectual property, including copyrights, trademarks, patents, and trade secrets.

X a) Prohibited Infringement

You agree not to post, upload, publish, submit, transmit, offer for sale, or otherwise make available any content, products, or listings (collectively, "User Content") that infringes, misappropriates, or violates any third party's intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, rights of publicity, or privacy. This includes, without limitation, offering for sale any counterfeit, unauthorized, or infringing goods, imitating patented designs or inventions, or using trademarks or branded terms without authorization. Violations may result in immediate removal of the User Content, suspension or termination of your account, and reporting to relevant authorities.

X b) User Representations and Warranties

By submitting any User Content to the Service, you represent and warrant that: (i) you own or control all necessary rights, licenses, consents, and permissions to such User Content; (ii) the User Content does not infringe, misappropriate, or violate any third party's intellectual property rights or other rights; (iii) the User Content is accurate, truthful, and not misleading; and (iv) you will comply with all applicable laws, including export controls and intellectual property laws. You are solely responsible for ensuring that your User Content complies with these Terms.

X c) Right to Monitor, Remove, or Disable Content

Blidz reserves the right (but not the obligation) to monitor, review, edit, remove, disable, or block any User Content at any time, without notice or liability, if we believe it violates these Terms, including any suspected intellectual property infringement, or if required by law, court order, or government authority. We may also suspend or terminate accounts associated with infringing User Content. Blidz assumes no responsibility for monitoring the Service for inappropriate or infringing content.

X d) Intellectual Property Reporting Procedure

If you believe that any User Content on the Service infringes your intellectual property rights, we strongly encourage you to notify us through our designated reporting process before pursuing legal action, such as filing a lawsuit or seeking a temporary restraining order. This allows us to investigate and take prompt action, including delisting or removing the allegedly infringing content, which may resolve the issue without court involvement. Please submit notices via legal@blidz.com. Your notice must include: (i) a description of the allegedly infringing material and its location on the Service; (ii) identification of the intellectual property right claimed (e.g., patent number, copyright registration); (iii) your contact information; (iv) a statement that you have a good-faith belief the use is not authorized; (v) a statement under penalty of perjury that the information is accurate and you are the rights owner or authorized to act; and (vi) your electronic or physical signature. For copyright claims, we comply with the Digital Millennium Copyright Act (DMCA). We will review valid notices promptly and may remove content, notify the user, and allow counter-notices where applicable. Blidz reserves the right to reject notices submitted in bad faith and may seek damages for misrepresentations.

X e) Repeat Infringer Policy

Blidz maintains a policy to terminate, in appropriate circumstances, the accounts of users and Merchants who are repeat infringers of intellectual property rights. If a user or Merchant is found to have repeatedly posted infringing content, listed counterfeit goods, or otherwise repeatedly violated third-party intellectual property rights, Blidz may permanently terminate that user's or Merchant's account without prior notice and without liability.

X f) Compliance with Laws and Legal Processes

You agree to comply with all applicable intellectual property laws. Blidz may disclose User Content, account information, or other data to third parties if required by law, subpoena, court order (including temporary restraining orders), or legal process, or to enforce these Terms, respond to claims of infringement, or protect our rights, users, or the public. To promote fair resolution, we prefer that intellectual property disputes be addressed through our reporting procedure prior to formal legal proceedings. However, we reserve the right to cooperate with authorities without prior notice to you if necessary to comply with legal obligations or protect our rights.

X g) No Liability for User Content

Blidz does not endorse, guarantee, or assume responsibility for any User Content, including its accuracy, legality, or non-infringement. We disclaim all liability for any claims, damages, or losses arising from User Content, including intellectual property disputes. For further details, see Section XII (Disclaimer of Warranty and Liability Regarding Use of Blidz).

X h) Indemnification for Infringement

In addition to the indemnification obligations in Section XIII (Indemnity), you specifically agree to defend, indemnify, and hold harmless Blidz, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from or related to: (i) your User Content infringing third-party intellectual property rights; or (ii) any violation of this Intellectual Property Rights section.

X i) Blidz's Intellectual Property

All trademarks, copyrights, patents, and other intellectual property associated with the Service (including the Blidz name, logos, and software) are owned by Blidz or its licensors. You are granted a limited, non-exclusive license to use the Service as provided in Section IX (Licenses), but you may not copy, modify, or exploit our intellectual property without written permission.

XI. Your Blidz Account

XI a) Your Password

You should never give your password to anyone, including Blidz employees. In the event you become aware of or reasonably suspect any breach of security, including without limitation any loss, theft, or unauthorized disclosure of the login information, you must immediately notify Blidz and modify your login information. You are solely responsible for maintaining the confidentiality of the login information, and you will be responsible for all uses of the login information, including purchases, whether or not authorized by you. You are responsible for anything that happens through your Account.

Any detected abuse of a user account, whether it harms a third party or Blidz, shall result in the disqualification of the user and, if applicable, notification of the applicable authorities of the possibility of a crime.

XI b) Invitations

We allow users to invite friends using the invitations feature in the App. Any misuse of the invitation system may lead to the deduction of Points and Payout Balance awarded and/or the termination of your account at our discretion. Blidz reserves the right to review each invite for potential fraudulent activities.

XI c) Account Termination

If a user violates these Terms of Service, any law, the users on Blidz, Blidz's Service or any other third party Blidz reserves the right to at any time disqualify, temporarily or permanently, the user. Examples of violations include, but are not limited to, use of unauthorized third-party software, multiple accounts for the same user or collusion. You agree to not hold Blidz responsible for any loss incurred as a result of breaching these Terms of Service and you agree that Blidz may withhold, cancel or retain any of your pending deliveries and/or refunds for Points and Payout Balance. Any user violating this Terms of Service agreement will face immediate deletion of their account without warning at Blidz's sole discretion.

XII. Prohibited Uses of the Service

It is not allowed to register and purchase Deals with an invalid credit card or under a false name. Blidz will cooperate with any law enforcement agency, state or federal, in connection with the prosecution of any user who violates any laws regarding the fraudulent or unlawful use of credit cards and/or other payment methods in the Service. Products bought on Blidz may not be resold without prior written consent from Blidz. Further, it's not allowed to use Blidz in order to create an investment scheme or to use Blidz as a product delivery mechanism. Users registered on Blidz may not use or assist other users in abusing or fraudulently using the App, the Site or the Service, including but not limited to the following activities:

  • Participating or trying to participate in the Service while avoiding payment.

  • Using services or devices to interfere, accessing, altering or destroying any information or network of other Blidz users or in violation of the law.

  • Using Blidz's network for unlawful purposes, Blidz reserves the right to monitor all network activity.

  • Having control of more than one user account per person.

  • Infringement on Blidz's intellectual property, creating a competing Service or using the data in the Service for any other purpose than to shop for products for personal use.

  • Colluding or manipulating the Deal prices.

  • Attempting to exploit, manipulate, or abuse the Blidz Points system, Season Level system, Payout Balance, or any rewards program through automated means, fraudulent activities, or any other method intended to earn rewards not intended by Blidz.

  • Creating fake or fraudulent accounts for the purpose of earning or accumulating Points or Payout Balance.

  • Post or upload any content that belongs to others or that is false, inaccurate or misleading.

  • Try or successfully collect information about other users on Blidz.

  • Uploading or downloading any virus.

  • Try to communicate with any other users with the intent to provide information about illegal activities or to promote harm or injury against any users.

  • Try to attack other users devices, internet connections or websites.

  • Listing, offering for sale, or selling counterfeit, unauthorized, stolen, or prohibited goods through the Platform.

  • Manipulating product reviews, ratings, or feedback in any way.

XII a) System Interference

By accepting these Terms of Service, you agree to not interfere with the App, the Site or any transaction conducted or proposed to be conducted by another user through the Service. You also agree to not inflict any extreme load on Blidz's system or facilities and to not put anything on the Site or in the App that could damage, interfere or intercept any system, data or personal information.

XII b) Suspected Violations

Any reported violation of these Terms of Service or other policies of Blidz or complaints may be investigated by Blidz. Blidz reserves the right to take any action deemed reasonable to protect the Service, system, users and/or any third party. This includes, but is not limited to, warnings, suspension, termination of any user or account or the Service and/or removing content hosted on Blidz's systems. For any activity that Blidz suspects to violate any law or regulation, Blidz reserves the right to report to appropriate law enforcement officials.

XIII. Disclaimer of Warranty and Liability Regarding Use of Blidz

You agree that use of Blidz is at your sole risk. Neither Blidz nor any of its officers, directors, employees, agents, Merchants, sponsors, licensors, component suppliers (both hardware and software), or any third party who provides products or services purchased through the Service or distributed through Blidz, or the like, warrant that websites affiliated with Blidz, including, but not limited to, the Site, will be uninterrupted, error-free, or free of viruses, worms, trojan horses, keyboard loggers, spyware, adware, malware, harmful or malicious code, or other defects. The information, products, and services published on the Site or through the Service may contain inaccuracies or typographical errors. Blidz makes no warranty as to the results that may be obtained from the use of Blidz or as to the accuracy, reliability, currency or quality or condition of any information content, service, or merchandise provided through the App, the Site or otherwise through the Service. THE LIMITATIONS OF THIS SECTION SHALL APPLY NOTWITHSTANDING ANY RELIANCE ON ANY INFORMATION OBTAINED FROM BLIDZ OR THAT RESULTS FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES OR OTHER MALICIOUS CODE, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO PROVIDER RECORDS, PROGRAMS, OR SERVICES, AND WHETHER OR NOT BLIDZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. USER HEREBY ACKNOWLEDGES THAT THIS LIMITATION SHALL APPLY TO ALL CONTENT, MERCHANDISE, AND SERVICES AVAILABLE THROUGH THE SITE, THE SERVICE, THE APP OR OTHERWISE THROUGH BLIDZ.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLIDZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO BLIDZ IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

You agree that Blidz shall not be liable for personal injury and property damage resulting from the use, improper handling, modification, or misuse of any product purchased or otherwise acquired through the Service. Further, Blidz hereby disclaims any and all liability from claims arising from trip packages offered through the Service. Blidz will not be liable for any damages or injuries, whether physical or emotional, that occur or are received during a trip purchased through the Service. Blidz shall not be liable or otherwise responsible for flight delays, loss of baggage, or other losses that occur during a trip offered through the Service.

All new products are sold with the manufacturer's limited warranty only. Blidz warrants solely that the products sold to you under these terms shall have the characteristics specified in the description of each Deal and assumes no further warranties. The warranty period and service varies by manufacturer and product. The full text of any such warranty is available, free of charge, upon written request to Blidz. Warranty is excluded for the delivery of any used products.

THIS LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM ASSEMBLY, USE OR MISUSE OF OR RELIANCE ON BLIDZ SERVICES OR PRODUCTS PURCHASED THROUGH BLIDZ, FROM INABILITY TO USE THE SERVICE OR PRODUCTS PURCHASED THROUGH BLIDZ, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF BLIDZ'S SERVICES (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES).

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

XIV. Indemnity

You agree to indemnify, defend and hold Blidz and its employees, managers, directors, shareholders, officers, agents, members, affiliates or any other partners harmless from any claim, demand, loss, liability or expense (including reasonable attorneys' fees and court costs), arising from or related to: (a) your breach of these Terms, any other terms of the Site, and/or your violation of any law or the rights of Blidz or any third party; (b) your use of the Platform or any product purchased through the Platform; (c) any User Content you submit, post, or transmit through the Platform; (d) your violation of any intellectual property or other rights of any third party; (e) any product you list or sell through the Platform (if you are a Merchant); or (f) any dispute between you and another user of the Platform, including any Merchant.

XV. System Outage & Disruptions; Temporarily Paused Deals

In case of an unforeseeable disruption in the system, maintenance, or other issues Blidz could experience a system outage preventing Deals from being purchased. In such a case the Deals are paused. Blidz is not responsible for any other costs incurred by you due to a system outage. After the outage has been resolved Deals will continue and extra time will be added to the remaining time to allow users to restore connectivity to the platform and purchase Deals before the Deals close. The App will clearly indicate disruptions in the system and issues with your connection to the platform. Blidz reserves the right to cancel Deals that end due to system error, technical issues, or any other reasonable reason.

With current technology, it is not possible to develop and operate computer programs (software) and data processing systems (hardware) entirely without error, or to rule out any unpredictable events in connection with the Internet. Blidz, therefore, provides no guarantee for the constant and uninterrupted availability of the website, app and other technical systems. Blidz shall not be liable for any damage incurred by Deals users or third parties from using Blidz's services. In particular, Blidz shall not be liable for damage that occurs due to Points or Payout Balance not being received by Blidz, not being received promptly, or not being considered as a consequence of technical errors.

XVI. Request for Identification

You hereby agree that Blidz may request information from you to verify the completeness and accuracy of Registration Information (as defined below).

Blidz may occasionally request identity verification from users to ensure fairness and an even playing field. Blidz may at any time choose to make such requests for the purposes of validating your identity, age, place of residence, usage patterns, or other registration data ("Registration Information"). The purpose of the corresponding review of Registration Information is to prevent money laundering, cheating, and other breach of these Terms of Service and/or any applicable laws.

You hereby authorize us to review and use the information or documentation you provide to us for the purposes described above, and to disclose it to any third party we consider necessary in order to check, verify or validate the information.

In the event you decline a request for identification verification, or in the event Blidz determines in its sole discretion that the information provided by you is unsatisfactory, Blidz has the right to suspend or permanently remove such unverified user accounts and cancel any Deals won by such users. Such user of unverified accounts will forfeit the right to receive any products or to be refunded for any payments made, Points used, Payout Balance used, and Points or Payout Balance remaining in the account.

Upon receipt of satisfactory documentation as deemed by Blidz, we shall release any products and/or Points and Payout Balance which may have previously been placed on hold, pending verification of your account. Blidz will subsequently ship these products within 28 working days from the date your account has been verified.

XVII. Network Connection

Blidz requires an adequate network connection to communicate with the platform and to run the Service efficiently. The Blidz app has been tested to work on a 2G connection (250Kbps bandwidth, 300ms RTT), if your connection fails to meet that quality Blidz cannot guarantee that the application will function properly. Blidz also recommends downloading the application over Wi-Fi if your mobile internet connection is slow, as the application download will be larger and could incur data fees. In case of bad network connectivity, we recommend using a strong, reliable Wi-Fi connection or refraining from using Blidz. Blidz cannot be held responsible for insufficient network connection, and it is the user's responsibility to ensure that their connection is fast enough to use the Service. Further, while an adequate network connection is necessary to use the Service, it may not be sufficient: low battery and outdated hardware are just a few examples of other variables that could impact the functionality of the Service.

XVIII. Applicable Law

THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF NEW YORK, WITHOUT REFERENCE TO RULES GOVERNING CHOICE OF LAWS. ANY ACTION RELATING TO THIS AGREEMENT MUST BE BROUGHT IN THE FEDERAL OR STATE COURTS LOCATED IN NEW YORK, NEW YORK, AND YOU IRREVOCABLY CONSENT TO THE JURISDICTION OF SUCH COURTS.

FURTHERMORE, IF YOUR REGISTRATION WITH THE SERVICE AND/OR YOUR ACTIONS IN RELATION TO THE SERVICE VIOLATE ANY PROVISION OF THESE TERMS OF SERVICE, YOU HEREBY AGREE TO RELEASE ANY AND ALL CLAIMS RELATING TO OR ARISING OUT OF YOUR USE OF THE SERVICE.

XIX. Force Majeure

Blidz shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Blidz's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information systems infrastructure, hacking, SPAM, or any failure of a computer, server, network, or software, government actions, orders or legislation, or any other event beyond Blidz's reasonable control (each, a "Force Majeure Event"). Blidz shall use reasonable efforts to mitigate the effects of any Force Majeure Event.

XX. Severability; Waiver; Assignment

If, for whatever reason, a court of competent jurisdiction finds any term or condition in these Terms of Service to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect. No waiver of any breach of any provision of these Terms of Service shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of Blidz. Blidz may assign or delegate some or all of its rights and obligations under this Agreement.

Nothing in these Terms is intended to exclude or limit any statutory rights that cannot be excluded or limited under applicable law, including mandatory consumer protection rights in your jurisdiction. Where any provision of these Terms conflicts with mandatory applicable law, that provision shall be deemed modified to the minimum extent necessary to comply with such law, and all other provisions shall remain in full force and effect.

To the extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This limitation does not apply where prohibited by applicable law.

XXI. Modifications and Amendments

Blidz may, in its sole discretion and without prior notice, a) revise these Terms of Service; b) modify the Site, the App and/or the Service; and c) discontinue the Site, the App and/or Service at any time. Blidz shall post any revision to these Terms of Service to the Site, and the revision shall be effective immediately on such posting. You agree to review these Terms of Service and other online policies posted on the Site periodically to be aware of any revisions. You agree that, by continuing to use or access the Service following notice of any revision, you shall abide by any such revision.

Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy, and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

ALL DEALS IN THE APPLICATION ARE PROVIDED BY MERCHANTS THROUGH BLIDZ. APPLE INC. DOES NOT HAVE ANY INVOLVEMENT IN THE SERVICE WE PROVIDE OUR USERS.
